Klubwerk

1. Scope and Definitions

These Terms of Service ("Terms") govern the use of the Klubwerk platform ("Service") provided by Klubwerk GmbH ("we", "us", "our"), Musterstrasse 42, 10115 Berlin, Germany. By creating an account or using our Service, you ("Customer", "you") agree to be bound by these Terms. The Service includes the web application, mobile applications, APIs, and all related features for club and association management. These Terms apply to all users, including club administrators, members, and visitors.

2. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must be at least 18 years old to create an administrator account. Club administrators are responsible for ensuring that their use of the Service complies with applicable laws and their own organization bylaws. You agree to notify us immediately of any unauthorized use of your account.

3. Free and Paid Plans

We offer a free plan with limited features for clubs with up to 50 members. Paid plans are available for clubs requiring additional features, higher member limits, or premium support. Features and pricing for each plan are described on our pricing page at klubwerk.com. We reserve the right to modify plan features and pricing with 30 days advance notice. Changes to pricing will not affect the current billing period. Free plan users may be subject to fair usage limits.

4. Payment Terms

Paid subscriptions are billed monthly or annually in advance, as selected at the time of purchase. Payment is processed via SEPA direct debit or credit card through our payment provider. All prices are listed in euros and are exclusive of applicable taxes unless otherwise stated. If a payment fails, we will notify you and provide a grace period of 14 days to update your payment method. After the grace period, we may downgrade your account to the free plan or suspend access to paid features.

5. Termination

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods. We may terminate or suspend your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay outstanding fees. Upon termination, your data will be retained for 30 days to allow for export, after which it will be permanently deleted unless retention is required by law.

6. Intellectual Property

The Service, including its design, code, documentation, and branding, is the intellectual property of Klubwerk GmbH and is protected by copyright and trademark law. You retain ownership of all content you upload to the Service. By uploading content, you grant us a limited, non-exclusive license to store, process, and display that content solely for the purpose of providing the Service to you.

7. Liability

We provide the Service "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by law, our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits. This limitation does not apply to damages caused by intentional misconduct or gross negligence.

8. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For business customers, the exclusive place of jurisdiction is Berlin, Germany. Consumer dispute resolution: we are not willing or obliged to participate in dispute resolution proceedings before a consumer arbitration board. These Terms were last updated on April 1, 2026.
